Loan Data Agent

Qualified Investors:

In order to allow for the authentication of parties granted access to the Loan Data Agent Platform, the Loan Data Agent shall require that all parties accessing the Loan Data Agent Platform agree and certify (via “click-through” certification) to certain representations and user agreements, including the following:

All or a portion of the data maintained on this portal is not publicly available and may contain confidential information. The data maintained on this portal may not be shared with other parties.

Access to the data maintained on this portal requires you to submit a request for access to QuantumCF Inc., in its capacity as the loan data agent for the selected transaction. By sending this request, the sender hereby certifies that it is either (a) an investor in the selected transaction,  (b) a potential investor in the selected transaction, or (c) a party to the selected transaction.

If the potential recipient of the requested access is an investor or potential investor in the selected transaction, it hereby agrees to use the data maintained on this portal solely to evaluate its investment or possible investment in the securities issued by the selected transaction and will otherwise keep the information confidential, disclose it only to those within its organization (or its advisors) with a need to know as it relates to the referenced transaction, and comply with all applicable federal and state securities laws and regulations and/or as specified in the deal documents for the selected transaction. Such potential recipient also certifies that it is an investor or potential investor regularly investing in asset backed securities and maintains a combined capital and surplus of at least $50,000,000. Further, such potential recipient hereby acknowledges and certifies that it is one of the following:

1. a "qualified institutional buyer", as defined in Rule 144A under the Securities Act of1933, as amended, or

2. a non-"U.S. person", as defined in Regulation S under the Securities Act of 1933, as amended.

Upon receipt of this request and on the basis of the certification given by the sender herein, QuantumCF Inc., in its capacity as loan data agent for the selected transaction, shall make the requested access available to the sender.

By submitting the foregoing request and accessing the portal, each potential recipient of such access and person accessing such portal acknowledges and agrees that none of the Issuer, Servicer or Administrator, or any of their respective affiliates, shall be responsible for, or makes any representation or warranty as to, the accuracy, completeness, timeliness or continuous delivery of the information made available on this portal.
